Terms of Service

The binding agreement between your school and DarasaDigital governing access to and use of the platform.

IMPORTANT: By registering a school on DarasaDigital, you acknowledge that you have the authority to enter into this agreement on behalf of your school and that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

1Definitions

In these Terms, the following words have the meanings set out below:

"Platform"The DarasaDigital web application, including all tenant subdomains, APIs, and associated services accessible at darasadigital.com.
"Company," "we," "us," "our"Bravio Technologies Limited, the developer and operator of the DarasaDigital platform, with offices in Machakos Town, Kenya.
"Client," "School," "you," "your"The educational institution that registers for and subscribes to the Platform, represented by its authorised School Administrator.
"School Administrator"The individual authorised by the school to register, configure, and manage the school's account on the Platform.
"User"Any individual who accesses the Platform, including School Administrators, teachers, bursars, parents, and students.
"Services"All features, tools, and functionalities provided through the Platform, including but not limited to academic management, fee collection, timetabling, payroll, reporting, and communication.
"Content"All data, text, files, images, documents, and materials uploaded to or generated by the Platform.
"School Data"Personal data and records of students, parents, staff, and financial transactions entered into the Platform by or on behalf of the School.
"Subscription"The paid or trial access to the Platform for a defined period under a selected plan.

2Acceptance of Terms

2.1. These Terms of Service ("Terms") constitute a legally binding agreement between the School and Bravio Technologies Limited, effective from the date of registration.

2.2. By clicking "I have read and agree to the Privacy Policy and Terms of Service" during registration, or by otherwise accessing or using the Platform, you confirm that:

  • You are at least 18 years of age;
  • You have the legal authority to bind the School to these Terms;
  • You have read and understood both these Terms and the Privacy Policy;
  • The School agrees to comply with all applicable laws and regulations in its use of the Platform.

2.3. If you do not agree to these Terms, you must not register for or use the Platform.

3Service Description

3.1. DarasaDigital is a cloud-based Software-as-a-Service (SaaS) school management operating system designed for Kenyan educational institutions. The Platform provides the following core service modules:

CBC academic assessment and report card generation
Student information management (SIS)
Automated M-Pesa fee collection and reconciliation
Timetable generation and scheduling
Staff attendance and leave management
Payroll processing
NEMIS/KNEC compliance reporting and export
Parent and student communication (SMS, Email)
Library management
Transport management
Financial reporting and BOM budgeting
Data backup and audit logging

3.2. Each school accesses the Platform through a dedicated tenant subdomain (e.g., yourschool.darasadigital.com), ensuring logical data isolation from other schools on the Platform.

3.3. We reserve the right to add, modify, or discontinue features with reasonable notice. Core service capabilities will not be materially reduced during an active subscription period without prior consent.

4Account Registration & Responsibilities

4.1. Registration. To use the Platform, a School Administrator must register by providing accurate and complete information, including the school name, location, administrator credentials, and a unique portal subdomain.

4.2. Email Verification. Registration requires email verification via a one-time code (OTP). Accounts are not activated until verification is complete.

4.3. Account Security. You are responsible for maintaining the confidentiality of all account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised access at security@darasadigital.com.

4.4. Authorised Users. The School Administrator is responsible for managing user accounts (teachers, bursars, parents, students) and assigning appropriate roles and permissions. You must ensure that all users comply with these Terms.

4.5. Data Accuracy. The School is solely responsible for the accuracy, completeness, and legality of all School Data entered into the Platform. DarasaDigital does not independently verify the accuracy of user-entered data.

4.6. One Account Per School. Each school registration creates a unique tenant. Multiple registrations for the same school are not permitted unless operating as distinct branches under a multi-branch arrangement.

5Subscription, Billing & Payment

5.1. Subscription Plans. The Platform is offered on a subscription basis. Current plans include Termly and Annual options, as published on our Pricing page. Pricing is subject to change with at least 30 days' notice before the next billing cycle.

5.2. Payment Methods. Subscription payments may be made via M-Pesa or bank transfer as specified in the billing portal. All payments are denominated in Kenya Shillings (KES).

5.3. Invoicing. Invoices are generated automatically and available in the admin dashboard. Payment is due within 14 days of invoice generation unless otherwise agreed.

5.4. Late Payment. If payment is not received within the grace period, the Platform may restrict access to non-essential features. After 30 days of non-payment, access may be fully suspended (see Section 13).

5.5. Refunds. Subscription fees are non-refundable except where required by applicable consumer protection law or at our sole discretion. Unused portions of a subscription are not eligible for pro-rata refunds.

5.6. Communication Credits. SMS and WhatsApp credits are purchased separately and consumed on a per-message basis. Unused credits do not expire but are non-refundable and non-transferable between schools.

6Free Trial

6.1. New school registrations receive a 30-day free trial with full access to all Platform features.

6.2. No payment information is required to start the trial. The trial is limited to one per school.

6.3. At the end of the trial period, the School must subscribe to a paid plan to continue using the Platform. If no subscription is activated, access will be restricted to read-only mode for a grace period of 14 days, after which the account may be suspended.

6.4. All School Data entered during the trial period is retained and fully accessible upon subscription activation.

7Acceptable Use Policy

You agree not to use the Platform to:

  • Upload, store, or transmit any content that is unlawful, defamatory, obscene, or infringes the rights of any third party
  • Impersonate any person or entity, or falsely claim affiliation with any person or entity
  • Attempt to gain unauthorised access to any other school's tenant, data, or systems
  • Use the Platform for purposes other than legitimate school administration and educational management
  • Introduce viruses, malware, or any code designed to disrupt or damage the Platform
  • Circumvent, disable, or interfere with security-related features of the Platform
  • Scrape, mine, or extract data from the Platform using automated tools without prior written consent
  • Use the Platform for commercial solicitation, spam, or marketing unrelated to school operations
  • Share, resell, or sublicense access to the Platform to any third party
  • Process personal data in violation of the Kenya Data Protection Act, 2019

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

8Intellectual Property

8.1. Platform Ownership. The Platform, including its design, source code, algorithms, documentation, trademarks (including the DarasaDigital name and logo), and all proprietary technology, is the exclusive property of Bravio Technologies Limited and is protected by Kenyan intellectual property law.

8.2. License to Use. Subject to these Terms, we grant the School a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the duration of the active subscription.

8.3. School Data Ownership. The School retains full ownership of all School Data entered into the Platform. We claim no intellectual property rights over School Data.

8.4. Feedback. Any suggestions, ideas, or feedback you provide regarding the Platform may be used by us without restriction or compensation for product improvement purposes.

8.5. Restrictions. You shall not copy, modify, reverse-engineer, decompile, disassemble, or create derivative works of the Platform or any part thereof.

9Data Processing & Privacy

9.1. Privacy Policy. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

9.2. Data Controller/Processor. For the purposes of the Kenya Data Protection Act, 2019, Bravio Technologies Limited acts as the Data Controller for platform operations. Each School acts as a Data Processor with respect to its students', parents', and staff members' personal data, and is responsible for ensuring lawful processing within its school environment.

9.3. School Obligations. The School undertakes to:

  • Process personal data within the Platform only for lawful educational and administrative purposes
  • Obtain any necessary consent from parents, guardians, and staff for data processing as required by law
  • Ensure that all user accounts created by the School are assigned to authorised individuals with appropriate roles
  • Report any suspected data breaches to DarasaDigital promptly
  • Comply with all obligations under the Kenya Data Protection Act, 2019

9.4. Data Export. The School may export its data at any time through the Platform's built-in export functionality (CSV, PDF). Upon termination, a data export period will be provided as described in Section 13.

10Service Availability & Support

10.1. Availability Target. We endeavour to maintain Platform availability of 99.5% uptime, measured on a monthly basis, excluding scheduled maintenance.

10.2. Scheduled Maintenance. We may perform scheduled maintenance during off-peak hours (typically between 11:00 PM and 5:00 AM EAT) with prior notice via the Platform dashboard or email.

10.3. Emergency Maintenance. In the event of critical security vulnerabilities or system failures, we may perform emergency maintenance without prior notice. We will provide a post-incident report.

10.5. No Guarantee. While we strive for uninterrupted service, the Platform is provided on an "as available" basis. We do not guarantee that the Platform will be error-free, uninterrupted, or free from harmful components.

11Limitation of Liability

11.1. Maximum Liability. To the fullest extent permitted by Kenyan law, the total aggregate liability of Bravio Technologies Limited to the School for any claims arising out of or related to these Terms or the use of the Platform shall not exceed the total subscription fees paid by the School to DarasaDigital in the twelve (12) months immediately preceding the event giving rise to the claim.

11.2. Exclusion of Damages. In no event shall Bravio Technologies Limited be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or loss of goodwill, even if we have been advised of the possibility of such damages.

11.3. Force Majeure. We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet disruptions, power outages, Safaricom M-Pesa system outages, or pandemics.

11.4. Data Accuracy Disclaimer. DarasaDigital is not liable for errors, inaccuracies, or omissions in School Data entered by the School or its authorised users. The School bears sole responsibility for data quality.

12Indemnification

12.1. The School agrees to indemnify, defend, and hold harmless Bravio Technologies Limited and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • The School's violation of these Terms or applicable law;
  • The School's misuse of the Platform;
  • Any third-party claims relating to the School Data processed through the Platform;
  • The School's failure to comply with the Kenya Data Protection Act, 2019, in its capacity as a data processor.

13Suspension & Termination

13.1. Suspension by Us. We may suspend access to the Platform without liability if:

  • Subscription fees remain unpaid beyond the 30-day grace period;
  • We reasonably believe the School has violated these Terms or the Acceptable Use Policy;
  • The School's use of the Platform threatens the security or integrity of the Platform or other schools' data;
  • Required by law or a lawful order of a competent authority.

13.2. Termination by School. The School may terminate its subscription at any time by providing written notice to support@darasadigital.com. Termination takes effect at the end of the current billing period.

13.3. Termination by Us. We may terminate the School's account with 30 days' written notice for any reason, or immediately in the case of material breach of these Terms.

13.4. Data Export Upon Termination. Upon termination or expiration, the School will have a 90-day data export period during which School Data may be exported via the Platform. After this period, all School Data will be permanently deleted in accordance with our data retention policy.

13.5. Survival. Sections relating to Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Data Retention shall survive termination.

14Dispute Resolution & Governing Law

14.1. Governing Law. These Terms shall be governed by and construed in accordance with the Laws of the Republic of Kenya.

14.2. Amicable Resolution. In the event of a dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute amicably through good-faith negotiations within 30 days of written notice of the dispute.

14.3. Mediation. If the dispute is not resolved amicably, either party may refer the dispute to mediation under the Nairobi Centre for International Arbitration (NCIA) Mediation Rules.

14.4. Jurisdiction. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Kenya, with venue in Machakos Law Courts, Machakos County.

15Communication & Notices

15.1. By registering, you consent to receiving electronic communications from DarasaDigital, including service announcements, security alerts, billing notices, and product updates.

15.2. All legal notices from us will be sent to the email address registered by the School Administrator. It is the School's responsibility to ensure this email address is current and monitored.

15.3. Notices sent by email are deemed received on the day of sending. Notices required by these Terms must be in writing (email is acceptable).

16Modifications to Terms

16.1. We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' prior written notice via email and a prominent notice within the Platform dashboard.

16.2. If you do not agree to the revised Terms, you may terminate your subscription before the changes take effect. Continued use of the Platform after the effective date of modified Terms constitutes acceptance.

16.3. Non-material changes (e.g., clarifications, formatting, minor corrections) may be made without prior notice. The "Effective Date" at the top of this page will always reflect the latest version.

17General Provisions

17.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between the School and Bravio Technologies Limited regarding the use of the Platform, superseding all prior agreements, representations, and understandings.

17.2. Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17.3. Waiver. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4. Assignment. The School may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

17.5. No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.

17.6. Language. These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
